1. Overview of the Service
2aT.ai is an AI-powered B2B sourcing and procurement marketplacedesigned to help clients discover, compare, and evaluate service providers through embedding-based semantic search, LLM post-processing, and custom scoring frameworks(including Trustability Analysis, Formal Requirements Fit, Cultural Fit, and other evaluation layers).
- 2aT.ai operates solely as a discovery and matching platform.
- We do notact as a contracting party, intermediary, agent, or guarantor between clients and providers.
- All business relationships, negotiations, and payments between users occur independently of 2aT.ai
2. Eligibility and Account Responsibilities
- You must be at least 18 years old (or the legal age of majority in your jurisdiction) to use the Service.
- You agree to provide accurate, current, and complete information when creating your account or profile.
- You are responsible for safeguarding your password and for all actions taken under your account.
- We reserve the right to suspend, disable, or terminate accounts that violate these Terms or applicable laws.
3. Nature of AI-Generated and Analytical Content
- The platform employs artificial intelligence and data analytics to process publicly available and user-submitted information, generate descriptive summaries, and compute matching scores.
- Content generated by AI may include algorithmic summaries or reformulations of factual data.
- While we strive for accuracy and transparency, AI-generated outputs may contain errors, approximations, or outdated information.
- Such outputs are provided for informational purposes only and do not constitute professional, financial, or legal advice.
- You are solely responsible for verifying any information before relying on it for business decisions.
4. Roles and Responsibilities
- Clients use 2aT.ai to identify and evaluate potential providers.
- Providers use 2aT.ai to publish, manage, and promote company profiles and case studies.
- 2aT.ai does not verify, endorse, or guarantee the accuracy, legality, or performance of any provider or project.
- Users remain fully responsible for due diligence, contracting, and compliance with applicable laws.
- We are not a party to, nor liable for, any transaction, agreement, or dispute between users.
5. Intellectual Property
- All algorithms, data structures, evaluation methodologies, and scoring frameworks are the intellectual property of 2aT.ai.
- You retain ownership of any content you upload but grant 2aT.ai a non-exclusive, worldwide, royalty-free license to host, analyze, display, and use such content.
- You may not copy, scrape, reproduce, or distribute any portion of the Service or its data for commercial purposes without our express written consent.
6. Data Sources and Transparency
- Provider information may originate from public business directories, company websites, or user submissions.
- 2aT.ai may label content with tags such as “Public Source,” “User-Submitted,” or “AI-Based.”
- Data collection and processing are performed under the lawful basis of legitimate interest (GDPR Article 6(1)(f)).
- Users located in California may request information consistent with the California Consumer Privacy Act (CCPA).
7. Prohibited Conduct
You agree not to:
- Misrepresent your identity, company, or capabilities.
- Post false, deceptive, or infringing content.
- Use the Service for scraping, spamming, or unauthorized data extraction.
- Attempt to gain unauthorized access to our systems or interfere with platform functionality.
- Reuse or redistribute AI-generated evaluations or internal scoring logic outside the platform without attribution or permission.
8. Disclaimers
- The Service and all AI-generated or analytical outputs are provided “as is” and “as available.”
- 2aT.ai makes no warranties regarding accuracy, completeness, reliability, or suitability.
- We do not warrant uninterrupted, error-free, or secure service. Use is at your own risk.
9. Limitation of Liability
To the fullest extent permitted by applicable law:
- 2aT.ai shall not be liable for indirect, incidental, or special damages.
- Our total liability shall not exceed the greater of (a) USD 100 or (b) the amount paid to 2aT.ai in the past 12 months.
- Nothing limits liability for fraud, willful misconduct, or gross negligence where prohibited by law.
10. Termination and Suspension
We may suspend or terminate your account at any time if you violate these Terms or platform integrity. Upon termination, your access ceases immediately, but provisions related to IP, disclaimers, and liability survive.
11. Modifications to the Terms
- We may revise these Terms periodically.
- The “Last Updated” date reflects the latest version.
- Continued use after changes constitutes acceptance.
12. Governing Law and Jurisdiction
- These Terms are governed by the laws of the State of Delaware, United States, and comply with EU consumer and data-protection regulations.
- Any dispute shall be resolved:
- For US users — in Delaware courts
- For EU users — in competent courts of your country of residence
- You consent to jurisdiction and waive objections to venue.
13. International Data Transfers
By using the Service, you acknowledge that your data may be transferred to and processed in the US or other countries, subject to safeguards such as Standard Contractual Clauses (SCCs).
